An Act to Incorporate the Sutherland Seminary in Ashe County.

Private Laws of the State of North Carolina Passed in 1891 - Pages 1320-1321.

The General Assembly of North Carolina do enact:

Section 1. That Thos. Sutherland, T. H. Sutherland, J. H. Hardin, Jno. W. Wilson and W. G. Shell, trustees of the Sutherland [Seminary], who shall serve until the first Tuesday in March, eighteen hundred and ninety-one, on which date annually thereafter five trustees shall be elected by the stockholders to serve for twelve months thereafter or until there shall have been elected, a joint stock company in the county of Ashe, and their successors in office are hereby incorporated a body politic and corporate for educational purposes under the name and style of "The Sutherland Seminary" in the county of Ashe, and as such may have all the powers of trustees of like institutions. The said trustees may sue and be sued, may plead and be impleaded.

Sec. 2. That all vacancies occurring in said board of trustees by death, resignation or removal from the county shall be filled by the board of trustees to serve the unexpired time, three of whom shall constitute a quorum for the transaction of business.

Sec. 3. That it shall be unlawful for any person or persons within two miles of said Sutherland Seminary to sell, give away or otherwise dispose of any vinous, spirituous or malt liquors.

Sec. 4. That all persons violating the third section of this Act shall be guilty of a misdemeanor, and on conviction before any justice of the peace in Ashe County shall forfeit and pay a sum not more than twenty-five dollars or be imprisoned not more than thirty days, or both at the discretion of the court.

Sec. 5. That the said corporation may have a common seal, and have power to pass all necessary by-laws and regulations for its own government which may not be inconsistent with the constitution and laws of this state or the United States.

Sec. 6. This Act shall be in force from and after its ratification.
